Terms of Service

Agreement
These Terms of Service (“Terms”) govern your use of Foundry, a financial-services platform operated by OBA Solutions (“Foundry,” “we,” “us”). By creating an account or using Foundry, you agree to these Terms. If you are using Foundry on behalf of a business, you represent that you are authorized to bind that business.
What Foundry is — and is not
Foundry helps a business understand its financial health, see funding it may qualify for, run a profit-and-loss, send branded invoices, and respond to chargebacks; and it provides the operating layer partners use to run their own branded networks. Importantly:
- Foundry is not a lender. Funding offers shown in Foundry come from third-party funding partners. Foundry is not a party to any loan or financing and makes no lending decision.
- Foundry is not a credit bureau or consumer reporting agency, and the financial-health rating is not a credit score and is not a consumer report under the Fair Credit Reporting Act. It is an informational, structural read of the data you connect.
- Foundry does not provide financial, legal, tax, or accounting advice. Outputs are informational tools to support your own decisions.
- Foundry is not a money transmitter. Where you accept payment on an invoice, the payment is processed by your own connected payment processor under your agreement with that processor.
Accounts
You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for activity under your account. You must be at least 18 and use Foundry for a lawful business purpose.
Fees
Foundry’s core product is free for the business using it. Paid features, and the commercial terms for partners operating a network on Foundry, are governed by a separate order or agreement. We will always tell you before any charge applies.
Funding offers
Any funding you see is offered by third-party partners and is subject to their terms, approval, and pricing. Foundry does not guarantee that you will qualify for, or be approved for, any offer. You decide whether to share your profile with a partner and whether to accept any offer.
Invoicing and payments
Foundry lets you create and send invoices and, where you connect your own payment processor, accept payment through it. You are responsible for your transactions, your relationship with your processor and customers, and for compliance with the card-network and payment rules that apply to you. Foundry does not hold or transmit funds.
Chargeback response
Foundry can help you organize and submit evidence in response to a chargeback. Outcomes are decided solely by the card networks and issuing banks. Foundry does not control, influence, or guarantee the result of any dispute, and nothing in the product should be read as a promise that a dispute will be won or an amount recovered.
The financial-health rating
The rating is an informational tool computed from the data you connect. It is not a credit score, not a guarantee of any outcome, and should not be relied on as the sole basis for any financial decision.
Partner and network terms
Partners may configure their own branded network on Foundry — selecting the rails they offer, setting downstream pricing, and onboarding ISOs and merchants. Partners may configure their ecosystem but do not own Foundry, the rating logic, the data layer, or the network. Partners must protect the data they access, obtain any required consents, and may not scrape, extract, reverse-engineer, or use Foundry data to train models outside Foundry. The data and underwriting intelligence generated across the network remain Foundry’s.
Acceptable use
You agree not to misuse Foundry — including by attempting to access data you are not entitled to, disrupting the service, submitting unlawful or fraudulent content, or violating any applicable law or third-party right.
Intellectual property
Foundry, its software, brand, and the rating and data logic are owned by us. You retain ownership of the content and data you provide, and grant us the rights needed to operate the service for you.
Disclaimers
Foundry is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any output is accurate or complete.
Limitation of liability
To the maximum extent permitted by law, Foundry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or US$100.
Indemnification
You agree to indemnify and hold Foundry harmless from claims arising out of your use of the service, your content, your transactions, or your violation of these Terms or applicable law.
Termination
You may stop using Foundry at any time. We may suspend or terminate access if you violate these Terms or to protect the service. You may request deletion of your data as described in our Privacy Policy.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Florida, unless a separate signed agreement provides otherwise.
Changes
We may update these Terms as the product evolves. We will post the updated version here with a new “last updated” date; your continued use after an update means you accept the revised Terms.
